Legal
Terms of Service
The agreement between Orbit, sellers and connectors.
Last updated 19 October 2026 · Draft pending legal review
These terms are between Orbit ([legal entity name, registered address — to be completed]) and everyone who uses Orbit as a seller or a connector. Our privacy policy is part of these terms.
1. The service
Orbit helps sellers reach their sales goals through people who already know their buyers. A seller creates a program: what it sells, its goal, the companies it wants to sell to, and what a connector earns. Orbit suggests people who could introduce the seller (from the seller's own contacts and connectors already on Orbit) and companies like the seller's buyers, and the seller decides whom to invite. A connector who accepts an invitation introduces people they genuinely know, and the seller pays them under that program's agreement. Orbit is not a party to any sale between a seller and a buyer, nor to any payment between a seller and a connector.
2. Your account
You must be at least 18, give accurate information, and keep your login secure. You are responsible for what happens under your account.
3. Contacts you bring (connectors)
When you connect an account or upload a file, you confirm that:
- you have the right to share that data with Orbit for the purposes in our privacy policy, and doing so does not breach any contract, employer policy or platform terms that bind you (for example LinkedIn's User Agreement or your employer's data rules);
- you will introduce only people you actually know, and you will describe your relationship with them truthfully;
- when you introduce someone (you do it yourself, from your own email, LinkedIn or phone; Orbit never contacts them), you will tell the recipient that the introduction was arranged through Orbit, give them the link orbit45.com/privacy, and respect any request to stop;
- if you share your relationships with a company, you have the right to let it see the people you know at its target accounts, and you will say you know someone only when you do;
- you will record each person's progress truthfully, and move someone to Met with seller only after they have met the seller;
- you will not introduce anyone who has asked not to be contacted, and you will not work around Orbit's do-not-contact and opt-out controls.
You will indemnify Orbit against claims that arise from data you had no right to share or from introductions that break these rules.
4. Conflicts of interest and anti-bribery
- You may not accept a program whose target buyer is your current employer, or an organisation where you are able to influence purchasing decisions, unless you disclose this to the seller and to the buyer in writing and the buyer's policies allow it.
- You may not introduce, or accept payment in connection with, a public official or a government or state-owned buyer.
- No fee may be passed on to anyone at a buyer.
- Sellers and connectors must comply with applicable anti-bribery and anti-corruption laws, including the US Foreign Corrupt Practices Act and state commercial bribery laws.
- Orbit may suspend agreements, and hold back the approval of payouts, that it reasonably believes break this section.
5. Sellers
You are responsible for the accuracy of your programs, the claims connectors are allowed to make, and paying your connectors what you approved, on time, as their agreement says.
Once a connector has introduced you to someone at a buyer, you keep that connector in the loop on the sale to that buyer: you copy them on the main email thread and invite them to the meetings, so they can follow how the deal progresses. The connector may skip meetings they can't attend, and missing one is not a breach. This applies to agreements from invitations sent on or after 19 October 2026. [Draft clause: to be reviewed by counsel, docs/LEGAL.md A16.]
For CRM data you sync to Orbit (HubSpot, Salesforce), you are the business responsible for it and Orbit is your service provider. Orbit will:
- process that data only to provide the service;
- keep it confidential and secure;
- use only the subprocessors listed in the privacy policy;
- tell you about security breaches affecting that data without undue delay;
- help you answer privacy requests from the people in it;
- delete or return it when the service ends, at your request.
Full service-provider terms are available on request.
Orbit shows you a person a connector introduced once the connector records that you met them. Use their details only to pursue that introduction, and honour a withdrawal or opt-out they send you.
A connector may choose to share their relationships with you. While they do, Orbit shows you the people they know at your target accounts (name, title, company, LinkedIn profile and how the connector knows them). You may use what you see only to ask that connector for an introduction through Orbit. You will not contact those people directly or through anyone else, copy them into a CRM, list or other system, or pass them to anyone outside your company, and you will stop using what you saw when the connector stops sharing. That a connector says they know someone is the connector's statement, not the person's agreement to anything. Orbit may end your access to shared networks if you break this paragraph. [Draft clause: to be reviewed by counsel, docs/LEGAL.md A13.]
6. Fees and payments
Orbit does not currently charge sellers or connectors for the service. We will give notice before introducing any fee, and no fee will apply to agreements already in force.
What a connector earns, which sales count and when payment is due are set in each program's agreement and frozen when both sides accept it. Each seller pays its connectors directly, by whatever means they agree; Orbit records approvals and the payments sellers mark as made, but it never receives, holds or sends money for anyone. Sellers and connectors are each responsible for their own taxes, and the seller, as the payer, for any tax reporting on what it pays a connector. [Draft clause: to be reviewed by counsel, docs/LEGAL.md A8.]
7. Acceptable use
You may not:
- scrape or harvest data;
- upload data obtained unlawfully;
- send spam;
- make claims a program prohibits;
- try to see another member's contacts;
- interfere with the service.
8. Termination
You can close your account at any time from Settings. We may suspend or close accounts that break these terms. Sections 3, 4 and 9 survive termination.
9. Liability
[Limitation of liability, warranty disclaimer, governing law and venue — to be completed with counsel.]
10. Changes
We will give members notice of material changes before they take effect.
